Values and Principles

Operating rules. How Nova AI Ventures decides. Every decision passes through these.

§01 established the vision and §02 the empirical lessons. §03 establishes how we actually decide — the principles, values, and filters that govern every next move.

1. The 7 Non-Negotiable Principles

2. The 6 Values

What we believe. Not slogans — filters.

01 Leverage over hustle We spent 15 years on hustle. Nova AI is what we do on the back of that lesson — build things that compound, not things that require us to run faster.
02 Frameworks over execution We build reusable tools, templates, and patterns. If something can’t be turned into a framework, it’s probably not Nova AI’s job.
03 Operators from day 1 — or as early as possible A product without an operator path is founder homework, not a company. Operator search runs parallel to every build.
04 Humans manage AI AI generates, humans decide. This isn’t optional — it’s the governance layer that prevents the “taste gap.” (Reference: Peter Steinberger’s OpenClaw / Simon Willison’s review discipline.)
05 Cash + equity, never just cash Every serious engagement gives Nova AI at least one of: cash, reusable asset, operator path, or equity seed. Ideally both cash and equity.
06 No founder resentment Structure eliminates “who did what for which money” conversations before they happen. Equity, roles, and expectations are explicit from day 1. If you feel resentful, the structure failed — not the person.

3. “Work Less, Smart” — The Operating Principle

Not a value. A life-stage commitment.

Four founders. 60+ years of professional work behind us. Nova AI is the “work smarter” chapter — not another 80-hour grind. The company is deliberately designed so that:
  • Leverage compounds, not hours
  • Frameworks scale, not founder capacity
  • AI amplifies, not replaces, human judgment
  • Operators run, not founders
If any activity starts to feel like the old grind — more hours, no compounding, no leverage — it fails this principle and gets re-examined through the Leverage Test.

Every opportunity passes through this filter: revenue idea · product build · engagement offer · hire · partnership. At least one of the 5 criteria must be true:

03 Product hypothesis validation Does this validate a market hypothesis with real paying users or customers?

05 Equity / revenue-share / strategic distribution Does this create ownership, a future revenue stream, or a strategic channel?
Decision rule: If none of the 5 criteria apply → default answer is NO.

  • Revenue line allocation (§04)
  • External engagement consideration (Venture R&D Filter — section 5 below)
  • Hire / partnership / tool adoption evaluation

5. The Venture R&D Filter — External Engagements

Specific to Line 05 Venture R&D (external paid engagements). Every external engagement must pass at least one of 4 tests:

02 Validate Does this validate a product hypothesis through a paid pilot?
03 Deploy Does this deploy something already productized from the Nova AI Stack?
04 Plant Does this plant an equity seed? (Revenue share · future SPV option · strategic distribution)
Cap: Max 2 concurrent Venture R&D engagements at any time
Pure bespoke client code = fail = NO — no exceptions
No auto-sunset — the line stays open indefinitely, but the cap and filter remain

Why this filter exists (explicit): To resolve the consulting contradiction once and for all. Nova AI is not a consultancy — but we accept paid external work only when it feeds the platform. The filter is the enforcement mechanism.

6. How These Compose — The Decision Stack

When a new opportunity appears, it’s evaluated through 5 layers, in order:

1. Non-Negotiable check      → Does it violate any of the 7 principles?  (if yes → NO)
2. Leverage Test             → Does it pass at least 1 of 5 criteria?     (if no → NO)
3. Venture R&D check         → If external engagement: does it pass 1 of 4 tests? (if no → NO)
4. Values alignment          → Does it align with the 6 values?           (drives structure)
5. Work-less-smart check     → Is this compounding or just more hours?    (if hours → re-examine)
Any NO at layers 1-3 = decline the opportunity.
Soft signals at layers 4-5 = rework the structure, re-evaluate.

The filters are not bureaucracy. They’re the operating-philosophy firewall that keeps Nova AI from drifting back into the patterns we escaped.
